The language of the contract is Hungarian. This English text is a courtesy translation; in case of any discrepancy the Hungarian version prevails.
2. Scope and acceptance
These Terms form part of every contract between the Provider and the Client unless the parties agree otherwise in writing. Where an individual contract differs, the individual contract prevails.
By placing an order or using the service, the Client declares that they have read and accept these Terms.
The Provider publishes the Terms in force on its website and keeps earlier versions, making them available on request.
3. Definitions
Client: the natural or legal person contracting with the Provider.
Consumer: a natural person acting outside their trade, business, craft or profession, as defined by Hungarian law.
Website: the WordPress site named by the Client to which the service applies.
Subscription: an open-ended service provided for recurring periods against a fee.
Checkup: a one-off, paid technical assessment of the Website delivered as a written report.
Incident: an extraordinary event affecting the security or availability of the Website, such as a compromise or malware infection.
4. The service
The Provider looks after the engineering side of WordPress websites. This typically covers:
maintaining and updating the WordPress core, plugins, theme and PHP version;
taking backups and regularly testing that they restore;
monitoring availability and security signals;
security hardening, malware removal and incident handling;
migration, setup and staging environments;
custom plugin development;
technical SEO and GEO checkups.
The service does not cover the following, unless agreed otherwise in writing:
copywriting, content production and content upload;
marketing, advertising and social media management;
graphic design and branding;
responsibility for the content of the Website, its lawfulness or accuracy;
the provision of hosting or domain services, unless separately undertaken by the Provider.
The contents and limits of each subscription plan are set out on the Subscribe page, and that description forms part of these Terms.
5. Formation of the contract
The Client selects a plan on the website, provides billing details, accepts these Terms and makes the first payment through the payment provider.
The contract comes into existence when payment is confirmed. The Provider sends electronic confirmation.
The Provider may decline an order without giving reasons, in particular where the state of the Website would make the service disproportionately difficult. Any fee already paid is refunded.
The Client is responsible for the accuracy of the details they provide. The Provider is not liable for delay caused by incorrect details.
6. Fees and payment
Fees follow the price list published on the website. Prices are shown net; the invoice is issued in accordance with the applicable VAT rules.
The subscription fee is payable in advance for each period, by card, on a recurring basis. Card details are handled by the payment provider; the Provider has no access to them.
By making the first payment the Client authorises the Provider to collect the fee for subsequent periods from the same card for as long as the subscription is in force.
The fee for a checkup and for one-off work is agreed on the basis of an individual quote before the work begins.
The Provider may change its fees once per calendar year, giving at least 30 days' notice before the change takes effect. The Client may terminate the subscription with effect from that date.
7. Invoicing
The Provider issues an electronic invoice for every payment and sends it to the e-mail address given by the Client, who expressly accepts electronic invoicing.
The Client must report any change to their billing details without delay. An invoice already issued may be amended in accordance with the applicable rules.
8. Term, renewal and termination
The subscription is open-ended and renews automatically at the end of each period, monthly or yearly as chosen.
The Client may terminate at any time without giving reasons. Termination takes effect at the end of the current period; the service continues until then and fees already paid are not refunded.
The Provider may terminate on 30 days' notice, refunding the fee for the unused part of the period on a pro rata basis.
Either party may terminate with immediate effect for material breach — in particular unlawful use of the service, persistent non-payment, or abusive conduct towards the other party's staff.
On termination the Provider hands back, within a reasonable time and at the Client's request, the access credentials and backups it holds for the Client, and deletes the backups 30 days after termination.
9. Late payment and suspension
If a payment fails, the Provider notifies the Client by e-mail and retries the payment.
If the fee is still not received within the grace period stated by the Provider, the service may be suspended. Suspension does not affect fees already due.
During suspension the Provider performs no maintenance on the Website and is not liable for any resulting damage.
In case of late payment the Provider is entitled to statutory default interest and, where the Client is a business, to the statutory recovery fee.
10. Right of withdrawal for consumers
A Client who qualifies as a Consumer has a 14-day right of withdrawal from the day the contract is concluded, under Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses.
If the Client asks the Provider to begin performance within the 14-day period, the Client acknowledges that the right of withdrawal is lost once the service has been fully performed, and that in case of partial performance the Client must pay for the service performed up to the moment of withdrawal.
A withdrawal notice may be sent by e-mail to hello@wpdoki.com. The Provider confirms receipt without delay and refunds any amount due within 14 days.
There is no right of withdrawal where the Client does not contract as a Consumer.
11. The Client's obligations
The Client provides the access needed to deliver the service (WordPress administrator, hosting, DNS) and maintains it for the duration of the service.
The Client warrants that they are entitled to control the Website and that the software running on it is properly licensed.
The Client reports any anomaly on the Website without delay and informs the Provider in advance of work carried out by the Client or by third parties.
The Client acknowledges that backups taken by the Provider do not replace the Client's own duty to keep copies of the content they upload.
12. Availability and response times
The Provider is available on working days between 9:00 and 17:00 (CET/CEST) and responds to enquiries within 24 hours on working days.
An ongoing security incident is handled as a priority.
The Provider does not guarantee uninterrupted availability of the Website, which also depends on the hosting provider and network connectivity.
Planned maintenance is announced in advance and scheduled, where possible, for periods of low traffic.
13. Warranty and liability
The Provider delivers the service with the care that may reasonably be expected, in accordance with professional standards.
The Provider is not liable for faults that existed before the contract was concluded, or that arise from third-party software, from the hosting provider, or from work done by the Client or anyone engaged by the Client.
Save for damage caused intentionally or to life, limb or health, the Provider's liability is limited to the fees paid for the service concerned in the contract year in question.
The Provider is not liable for loss of profit, indirect loss arising from data loss, or business losses caused by downtime of the Website.
Nothing in this clause affects the rights a Consumer has under mandatory law.
14. Confidentiality
Each party keeps confidential any business secret learned in the course of performance, does not disclose it to third parties and uses it only for performing the contract. This obligation survives termination.
15. Data protection
The Provider processes the personal data needed to perform the contract (name, e-mail address, billing details, the address of the Website) on the basis of performance of the contract, and retains accounting records for the statutory period.
The Provider uses processors to deliver the service: a payment provider, an invoicing system, a mail service and a hosting provider.
Where the Provider accesses personal data controlled by the Client while operating the Website, it does so as a processor acting on the Client's instructions; the parties conclude a separate data processing agreement for this.
Information about data subject rights and about processing in detail is available from hello@wpdoki.com.
16. Intellectual property
The right to use bespoke development created specifically for the Client passes to the Client on payment of the fee in full, for an indefinite term and without territorial limitation.
General-purpose tools, templates and solutions created by the Provider beforehand remain the Provider's property; the Client receives a licence to the extent needed to operate the Website.
The WPdoki name and branding belong to the Provider.
17. Subcontractors
The Provider may engage subcontractors and is liable for their conduct as for its own.
18. Force majeure
Neither party is liable for breach caused by an unforeseeable circumstance beyond its control that it could not reasonably be expected to avert — including official measures, war, strike, prolonged loss of internet connectivity and large-scale service outages.
19. Changes to these Terms
The Provider may amend these Terms unilaterally, giving the Client at least 15 days' notice by e-mail or on the website before the change takes effect.
Where a change is disadvantageous to the Client, the Client may terminate the subscription with effect from the date the change takes effect.
Contracts already concluded are governed by the Terms in force at the time of conclusion, except for changes required by law.
20. Complaints and remedies
Complaints may be sent to hello@wpdoki.com. The Provider investigates within 30 days and replies in writing.
A Consumer may turn to the conciliation board competent for their place of residence. The board competent at the Provider's seat: Pest Vármegyei Békéltető Testület Címe: 1055 Budapest, Balassi Bálint utca 25. IV. emelet 2. The Provider is obliged to cooperate in conciliation board proceedings.
A Consumer may also lodge a complaint with the competent consumer protection authority; contact details are published on the websites of the Hungarian government offices.

21. Governing law and disputes
These Terms and the contract are governed by Hungarian law, in particular Act V of 2013 on the Civil Code and Act CVIII of 2001 on electronic commerce services.
The parties seek to settle disputes by negotiation. Failing that, disputes with a Client who is not a Consumer fall to the court competent at the Provider's seat; for a Consumer the general rules apply.
22. Effective date
These Terms apply from the day they are published until withdrawn or amended.
